Bernard V. "Bernie" Vonderschmitt Co-founder, Chairman of the Board and Former CEO, A co-founder of Xilinx in 1984, Mr. Vonderschmitt served most recently as chief executive officer until his successor, Mr. Wim Roelandts, was appointed in January 1996. During his tenure at Xilinx, Vonderschmitt orchestrated the company’s “fabless” strategy of forming close partnerships with semiconductor manufacturers, freeing Xilinx from costly capital investments in foundries and allowing the company to focus its resources on research, design and marketing. Vonderschmitt was instrumental in guiding Xilinx from a Silicon Valley startup with no products in 1984 to a multimillion dollar international business which today has over 1,300 employees, offices throughout North America, Asia and Europe and over 40 varieties of programmable logic products with companion design software. Prior to joining Xilinx, Vonderschmitt was vice president and general manager of the microprocessor division of Zilog, Inc., in San Jose. Before that, he served with RCA Corp. for more than 20 years, finishing his career there as vice president and general manager of the solid state division. Vonderschmitt holds 13 issued patents. During his career at RCA, he received the prestigious "David Sarnoff Award" for developments in integrated circuits. Vonderschmitt holds a bachelor’s degree in electrical engineering from

Willem P. "Wim" Roelandts Chief Executive Officer Willem P. “Wim” Roelandts was named chief executive officer of Xilinx, Inc., on January 11, 1996. He is responsible for formulating the company’s overall strategy and providing the leadership, vision and focus necessary for Xilinx to continue its pace of rapid growth and expansion. Roelandts joined the company from Hewlett-Packard, where he most recently served as senior vice president and was responsible for all aspects of HP’s worldwide computer systems business, including research and development, manufacturing, marketing, professional services and sales. Roelandts' career at Hewlett-Packard began in 1967 when he was hired as a service engineer in Belgium. Later, he held a number of management positions in engineering and research and development at HP's former Grenoble Division in France, where he became the operations manager in 1982. In 1983, he was named the R&D manager for HP's Information Networks Division in Cupertino and was promoted to general manager for the Information Networks Group in 1985. Roelandts was elected an HP vice president in 1988 and became general manager of the Computer Systems Group later that year. When HP realigned its computer business activities in 1990, he was named general manager of the networked systems group. In 1992, Roelandts was named general manager of the computer systems organization, and in 1993, elected a senior vice president. Roelandts holds a bachelor’s degree in electrical engineering from Rijks Hogere Technische School in Anderlecht, Belgium. |

Philip T. Gianos General Partner, Interwest Partners Mr. Gianos joined InterWest in 1982 and focuses on information technology investing. In addition to his private portfolio company board seats, Mr. Gianos was a director for Stratacom, and is on the board of the Western Association of Venture Capitalists. Prior to joining InterWest, Gianos was with IBM Corporation for eight years in engineering management roles. He managed both chip design and systems integration for several IBM office automation products and holds two U.S. and one foreign systems level patents. Mr. Gianos holds bachelor's and master's degrees in electrical engineering from Stanford University and an MBA from Harvard University. |
| Photo not available | John L. Doyle Consultant John L. Doyle is a consultant and retired executive vice president of the Hewlett-Packard Company. Doyle joined HP in 1957 as a manufacturing engineer in Palo Alto. He moved through several manufacturing and general management positions and in 1976 was elected vice president of personnel, a position he held for four years. In 1980, he was named vice president of research and development and head of HP Laboratories, the company's central research activity. When HP reorganized its management structure in 1984, Doyle was named an executive vice president and a member of HP's Executive Committee. He headed one of five major sector organizations--the Systems Technology Sector, which included development of HP's new computer architecture - PCs, printers, storage systems and networks. He became executive vice president, Business Development in 1988, which included acquisitions, mergers, planning, the company's integrated circuit facilities and corporate purchasing, manufacturing and engineering, and retired from HP in September 1991. Doyle served until 1991 as chairman of the Open Software Foundation, which was formed in 1988 to establish a standard operating environment for computer systems from various manufacturers. Doyle holds a bachelor's degree in mechanical engineering, and a master's degree in engineering science from Stanford University. He serves on the board of directors for Analog Devices, Inc., Dupont Photomasks, Silicon Valley Research, and several start-up high technology companies. |

Dr. William Howard is an independent consulting engineer with clients in microelectronics and technology-based business planning areas. Prior to beginning his consulting practice, he served as senior fellow with the National Academy of Engineering from 1987 to 1990 while on leave from Motorola, Inc. His academy duties focused on studies of factors affecting the competitiveness of private industry, especially realization of new products. Howard joined Motorola in 1969 as manager of linear integrated circuits research and later served in a variety of technical and business management positions within the company's semiconductor and corporate organizations. In his last assignment before leaving Motorola in 1990, he served as senior vice president of research and development for the corporation. Howard was elected as a member of the National Academy of Engineering and is a fellow of both the Institute of Electrical and Electronic Engineers and the American Association for the Advancement of Science. He chairs the Advisory Group on Electron Devices for the U.S. Department of Defense and serves on the Defense Science Board. Howard is a director of the Idaho, Oak Ridge and Sandia national laboratories; RAMTRON, Inc.; Credence Systems, Inc.; VLSI Technology, Inc.; and BEI Electronics, Inc. He also serves on the board of governors of the Research Triangle Institute. Howard holds a doctorate from the University of California, Berkeley and BSEE and MS degrees from Cornell University. He is co-author of two books and holds several patents. |

Gordon M. Steel Chief Financial Officer Mr. Steel joined Xilinx in September 1987 as senior vice president of finance and chief financial officer and oversees all aspects of the Company's financial operations including: financial planning and analysis, treasury, tax, investor relations, information technology, and facilities. Mr. Steel was instrumental in growing Xilinx from a small startup with revenues of less than $10 million to the leading supplier of programmable logic with FY96 revenues of $560 million. In addition to taking Xilinx public in June 1990, Steel has been instrumental in acquistions, a stock split, and a convertible notes offering. Under Steel's management, Xilinx has been named the best financially managed company among fabless semiconductor companies by InStat, a market research firm, an unprecedented five years in a row. Mr. Steel holds a bachelor's degree in economics from Pomona College and an MBA from Stanford. |

R. Scott Brown Senior Vice President, Worldwide Sales Scott Brown joined Xilinx in February, 1985 and is the Senior Vice President of Worldwide Sales at Xilinx, Inc. Before joining Xilinx, Mr. Brown was the Vice President of Sales at the Menlo Corporation. Previously, he was employed at National Semiconductor for thirteen years. While there, he held various sales and marketing management positions. Mr. Brown received his bachelor's degree in economics from Cornell University. |
| Photo not available | Robert C. Hinckley Vice President, Strategic Plans and Programs, and Secretary Mr. Hinckley currently handles Xilinx’s legal affairs. He is the vice president, strategic plans and programs, general counsel and secretary. He directs the legal, strategic planning, licensing, and merger and acquisition functions. He has been with Xilinx since November, 1991. Prior to joining Xilinx, Hinckley worked at Spectra-Physics, Inc. where he handled their legal, financial and administrative functions. Before that he was employed by Skjerven, Morrill, MacPherson, Franklin & Friel, a forty attorney law firm emphasizing patent and intellectual property law. As a partner in the firm, he represented technology companies in litigation, licensing, and general business transactions. Hinckley’s major accomplishments include establishing a cost effective legal department responsible for contract administration, external and governmental affairs and employee relations. He has also negotiated major technology exchange agreements which resulted in U.S. technology exports to Japan. Hinckley has a BS from the U.S. Naval Academy and a law degree from Tulane University. He has also completed the executive program in financial management at Stanford University. |

C. Frank Myers Vice President, Operations Mr. Myers currently serves as vice president of operations and is responsible for engineering concerning semiconductor products, test, process, reliability, and package/assembly; as well as quality; planning and production control; purchasing; shipping/receiving; and development systems and component manufacturing operations. Myers was instrumental in securing and building the off-shore manufacturing and engineering facility in Dublin, Ireland. Myers has been in the semiconductor industry since 1964, and with Xilinx since 1985. Prior to Xilinx, Myers was employed at EXCEL Semiconductor Corp., National Semiconductor, Semiconductor Electronic Memories, and Motorola Semiconductor in various development, product engineering, and operations management positions. Myers earned his bachelor’s degree in electrical engineering from University of Arizona. |

Mr. David Bennett Vice President, Software Product Development David Bennett has more than 16 years of experience in software engineering and management. Before joining Xilinx as vice president, software engineering, he was founder and vice president of engineering for NeoCAD, an industry-leading software company for programmable logic. Prior to that, he was director of CAD/CAM technology at Daisy/Cadnetix. While at Cadnetix, he was instrumental in the development of many of the company’s leading CAD products. Bennett also worked in software development at Prolink Corporation and at Northern Telecom. Bennett attended Western Michigan University. |

Mr. William Carter Vice President and Chief Technology Officer Bill Carter, vice president and chief technology officer, is responsible for identifying the technologies and technical talent necessary for Xilinx to continue its leadship in the programmable logic industry into the next decade. Carter joined Xilinx in 1984. Before his appointment to the position of chief technology officer, he served as vice president of research and development. He has been involved in integrated circuit design since 1974 and holds nine U.S. patents. Carter earned his bachelor’s and master’s degrees in electrical engineering from Santa Clara University, where he currently serves as a member of the Board of Fellows and participates on the Engineering Advisory Board. |

Mr. Charles "Chuck" Fox Vice President and General Manager, HardWireTM Business Unit Mr. Fox is currently vice president and general manager, HardWireTM Business Unit, and is responsible for all aspects of the HardWireTM program at Xilinx. Fox has been with Xilinx since 1989 and previously held the office of vice president of marketing. Prior to joining Xilinx, Fox spent nine years in various marketing management positions at Intel's Microcomputer and ASIC divisions. Mr. Steve Haynes Vice President, North American Sales Mr. Haynes, formerly the Eastern U.S. Area sales director at Xilinx, oversees Xilinx's North American Sales Operation which includes Xilinx field sales personnel, independent manufacturing representatives, and distributors. Prior to joining Xilinx in 1987, Haynes was an Eastern Area sales manager at Silicon Systems in Boston, MA. Before his position at Silicon Systems, he was the Northeastern regional sales manager at National Semiconductor in New England. He has had experience with individual sales organizations and distribution in the semiconductor industry for over 20 years. Haynes holds BS and BA degrees from the University of Denver. |

Ms. Sandra Sully Vice President, Chief Information Officer Ms. Sully has been with Xilinx since 1995 as vice president, chief information officer. She is responsible for global management information systems (MIS) and computer resources at Xilinx. Before joining Xilinx, Sully was vice president, MIS at 3Com Corporation for three years. Prior to that, she was with National Semiconductor Corporation for eleven years, most recently as director of Worldwide Systems Development. Sully holds a BA degree from the University of Michigan and an MBA degree from Pepperdine University. |

Taylor Vice President, Human Resources As vice president of human resources, Ms.Taylor is responsible for worldwide organizational development. training, compensation, benefits and employment. Taylor joined Xilinx as director of employee relations and training in July of 1993. Previously, Ms. Taylor worked for Computervision, Intel Corporation for eight years, Tolerant Systems as the director of human resources, and ran her own consulting firm for a total of seven years. She has been in the Human Resources field since 1973. She became vice president of human resources at Xilinx in January 1996. | Photo not available | Mr. Roland Triffaux Vice President, European Sales and Marketing Mr. Triffaux is vice president of European sales and marketing, where he oversees all sales and marketing activities in Europe. In 1987, Triffaux started the European operations for Xilinx and was instrumental in the growth of the Xilinx’s European presence in 22 countries. Prior to Xilinx, Mr. Triffaux was with Thomson Semiconductor—before the merger with SGS—as sales and marketing director for Northern Europe and held various other positions for three years. Before that, he held several positions with National Semiconductor, including business unit manager for central Europe. He also has experience working at semiconductor device stocking representatives. Shortly after graduation, he worked at the Nuclear Research Centre at Leuven University. Mr. Sandeep Vij Vice President, Marketing As vice president of marketing, Mr. Vij is principally responsible for corporate marketing acitivities involving the company's programmable logic devices and design software. Earlier he served as director of FPGA marketing at Xilinx. Vij joined Xilinx in 1996 as director of FPGA marketing. Previous, he worked for Altera Corporation, where he held a variety of marketing positions during his five year term. Prior to Altera, he held marketing and engineering positions at General Electric Company. Vij holds an MSEE degree from Stanford University and a BSEE. |

Mr. Evert Wolsheimer Vice President and General manager, CPLD Business Unit As general manager of Xilinx's CPLD business, Wolsheimer oversees product planning, design, software, operations and marketing. Wolsheimer previously served as vice president of product technology at Xilinx where he was responsible for product engineering, process and packaging technology development, semiconductor foundry relationships and reliability. Earlier he served as senior director of product development. He joined Xilinx in 1991 as director of technology development. Prior to Xilinx, Wolsheimer was manager of technology development at LSI Logic and held several marketing and R&D management positions at Philips. He has three US patents at Xilinx and has published numerous papers for industry conferences and technical trade journals. Wolsheimer holds a doctorate in electrical engineering from Delft University in the Netherlands. |
